1. Scope and Document Priority
These terms apply to cloud servers, dedicated servers, networking, IP resources, storage, and other infrastructure services provided by Nexroute.
If a product page, order confirmation, SLA commitment, refund rule, abuse handling notice, or separately signed agreement contains more specific provisions, those specific provisions prevail for the corresponding service.
2. Account, Verification, and Security Obligations
- You must provide true, accurate, and verifiable registration and contact information, and update it promptly when it changes.
- You are responsible for keeping your account password, API keys, console credentials, and 2FA devices secure. Any risk caused by poor credential management is your responsibility.
- If we request identity, payment, or abuse-risk verification for compliance or security reasons, you shall cooperate within a reasonable period.
- If you discover unauthorized access, credential leakage, or a security incident, you must notify the platform promptly and cooperate with incident response.
3. Ordering, Provisioning, and Resource Delivery
3.1 Order Effectiveness
An order becomes effective after payment is completed and confirmed by the system. Some products are provisioned automatically, while others require manual review, stock confirmation, or fraud screening before activation.
3.2 Provisioning and Delivery
- Provisioning time displayed on the product page is an estimate and may be affected by inventory, hardware replacement, upstream availability, abuse review, or maintenance windows.
- If a specific node, model, IP segment, or add-on cannot be delivered, the platform may provide an equivalent alternative, delay delivery, or cancel and refund the unavailable portion.
3.3 Resource Changes and Replacement
During the service term, the platform may replace hardware, uplinks, IP assignments, or routing policies when necessary for maintenance, security, abuse mitigation, or upstream requirements. We will try to minimize impact where reasonably possible.
4. Billing, Renewal, Suspension, and Data Release
4.1 Billing and Renewal
- Service fees, billing cycles, setup fees, traffic rules, and add-on charges are governed by the order page and control panel display.
- Recurring services must be renewed before the due date. Unless explicitly stated otherwise, non-payment is treated as a voluntary decision not to continue the service.
4.2 Overdue Suspension and Release
- When a service becomes overdue, it may enter suspension, bandwidth limitation, IP withdrawal, resource recycling, or deletion workflows according to the product rules.
- You are solely responsible for backup, migration, and data retrieval before the overdue disposal timeline expires.
4.3 Price, Tax, and Cost Adjustments
The platform may adjust pricing, tax treatment, exchange-rate references, or upstream surcharges due to market conditions, compliance requirements, supplier changes, or resource strategy. Existing paid billing cycles remain under the effective order terms, while future cycles may follow the updated pricing.
5. IP, Bandwidth, and Network Usage
IDC resources involve shared upstream networks, IP reputation, traffic stability, and abuse response obligations. You must use IP addresses, routes, bandwidth, and ports in a lawful and operationally responsible way.
- Assigned IP addresses remain under the control of the platform or its upstream provider. You only receive the right to use them during the active service period and may not claim ownership or transfer them without authorization.
- You may not use the service for attacks, port scanning, botnets, open proxies, spam, phishing, copyright infringement, unlawful content distribution, or other abusive traffic.
- If DDoS, attack traffic, abuse complaints, or upstream reports are detected, the platform may apply temporary null-routing, bandwidth limitation, ACL filtering, IP replacement, suspension, or termination measures before or after notice depending on urgency.
- Bandwidth, traffic, and line quality are based on the product plan and upstream conditions. Sustained overload or abusive traffic may trigger fair-use controls or require an upgrade.
6. Customer Data, Backups, and Software Compliance
You are responsible for the content, applications, operating systems, data, and software licenses installed or stored on your services.
- Unless a managed backup product or written backup commitment is explicitly included in your order, you are responsible for your own backup, snapshot, export, and disaster recovery arrangements.
- You must ensure that all software, control panels, operating systems, media files, databases, and business content used on the service are lawful and properly licensed.
- The platform may cooperate with legitimate legal requests, court orders, abuse investigations, and emergency security response actions to the extent required by applicable law.
7. Maintenance, Failures, and Service Interruptions
To maintain stability and security, the platform may carry out scheduled maintenance, emergency repair, hardware replacement, route adjustment, or data center coordination work.
- We will try to provide advance notice for planned maintenance whenever reasonably possible, but notice may be limited in urgent cases.
- Interruptions, latency, packet loss, routing instability, or hardware failure may result from upstream carrier issues, software defects, force majeure, third-party facilities, or security incidents.
- Unless expressly stated otherwise in a written SLA or order commitment, the service is provided on an ongoing commercial-effort basis and is not guaranteed to be uninterrupted or error-free at all times.
8. Refunds, Cancellation, and Termination
- If a product page or order rule explicitly provides a refund window or money-back condition, that specific rule governs the refund eligibility.
- Services that have already consumed resources, involved custom deployment, manual delivery, abuse handling, dedicated hardware reservation, or expired beyond the allowed refund period are generally not refundable.
- You may cancel non-renewed services by letting them expire or by following the control panel process. The platform may suspend or terminate services for unpaid bills, policy violations, abuse risk, legal requirements, or security emergencies.
- After service termination, related data may be deleted after the applicable retention or disposal period. You should export any needed data before termination or release.
9. Liability Limits and Dispute Resolution
To the extent permitted by applicable law, the platform is not liable for indirect, incidental, special, punitive, or consequential losses, including loss of profit, data, goodwill, or business opportunity.
- Where permitted by law, the platform's aggregate liability for the disputed service shall generally not exceed the service fees actually paid by you for that service during the billing period directly related to the dispute.
- These terms are governed by applicable law. If a dispute arises, both parties shall first attempt to resolve it through friendly consultation. If consultation fails, either party may bring a claim before a court with proper jurisdiction.
